Devizes & District U3A Annual General Meeting 2021
The Annual General Meeting of the Devizes & District U3A will be held in the Wyvern Club, 51 Church Walk, Devizes, SN10 3AA at 2:00pm on Tuesday 26th October 2021. It will be a hybrid meeting with the option for members to attend physically or via Zoom; a Zoom invitation will be sent by email to all members who have given their email address. Those attending via Zoom will need to identify themselves to the Zoom operator when they log on. If they wish to raise a question at any time it must be sent to the operator using the ‘Chat’ facility; the operator will then raise the question on their behalf.
The Chairman, Secretary and Treasurer plus four committee members are standing down as required by the constitution and are offering themselves for re-election. The committee members standing down are: Jane Bull, Jeanette Smith, David Spens and John Weller.
There is only one resolution to be voted on. Last year’s AGM created a problem for us. We were legally obliged under our constitution to hold our AGM not later than August 2020; on the other hand, we were forbidden to meet physically due to the pandemic and our constitution made no provision for an online meeting. Fortunately, the government recognised this problem nationwide and made an exception which allowed us to use online means to hold the meeting, but only for a limited period.
We held an Extraordinary General Meeting in December 2020 to agree a change to the constitution which would give us the flexibility to hold our AGM as a physical meeting, an online meeting or a hybrid. The resolution was passed unanimously, and the revised constitution sent to the Charity Commission for their approval. They have agreed all the amendments we made to the Constitution last year except for one item. We hope that they will accept a further amendment to our Constitution to resolve their disagreement. Accordingly, we propose to amend Clause 9 of the constitution by the addition of the words “and this clause” after the figure 10. Clause 9 presently reads:
“The provisions of the constitution other than clauses 2 and 10 may be amended with the assent of not less than two thirds of the members of the U3A voting at a General Meeting of the U3A. Twenty-one (21) clear days notice shall be given to the members stating the intention to put forward such a resolution. No amendment shall be made which would cause the U3A to cease to be a charity.”
The amended Clause 9 will read:

You will notice the final sentence of Clause 9. I believe that that means we need the consent of the Charity Commissioners to any alteration we make to our Constitution, and we believe that this further alteration will obtain their consent.
It is very important for our U3A that we have a quorum so please attend if you can, either physically or via Zoom. If you cannot attend but wish to cast your vote you can do so between 13th October and 2:00 pm on 26th October 2021 in the Members Area of the website.
Following the formal part of the meeting there will be a talk on Lasting Powers of Attorney with particular reference on how you can save money by using the government website to create one.
After the talk there will be an opportunity to socialise over a glass of something fizzy, or a soft drink if preferred.
